GENERAL TRANSACTION CONDITIONS

(a) ALPHA SPACEZ grants the Partner the right to use and access the Website to use the Services and features provided on the Website in accordance with the specific terms and conditions set forth in Appendix 2.

(b) The Partner agrees to comply with any and all guidelines, notices, operating rules, and policies as well as instructions (if any) related to the use of the Service and/or access to the Website, as well as any amendments to the aforementioned regulations issued by ALPHA SPACEZ from time to time. ALPHA SPACEZ reserves the right to amend these guidelines, notices, operating rules, and policies at any time with prior notice in accordance with the law, and the Partner is deemed to be aware of and bound by any such changes from the time such notices of changes or additions are posted on the Website.

(a) impersonate any person or entity or misrepresent or mislead regarding the Partner's relationship with any person or entity;

(b) use the Website or Services for illegal purposes; unreasonable, fraudulent, threatening, illegal information probing, sabotage, creating and spreading viruses that damage the system, configuration, information transmission of the Website, or using the Service for speculation, market manipulation, creating fake orders or offers, including for the purpose of judging market demand;

(c) intentionally access without authorization or interfere with or disrupt computer systems or networks connected to the Website or Services;

(d) post, advertise, or transmit via the Website or Services any Prohibited Materials;

(e) interfere with the use of the Website or Services by others;

(f) use or upload any software or material, in any manner that the Partner has reason to suspect that such software or material contains viruses, damaging elements, malicious code, or other harmful components that may impair or corrupt data on the Website or damage or interfere with the computers or mobile devices of other users or the Website or Services;

(g) use the Website or Services in non-compliance with the acceptable use policy of any connected computer network, any Internet usage standards, and any applicable laws;

(h) modify, edit, copy, disseminate, distribute, supply, and create tools, features, Services similar to those provided by ALPHA SPACEZ on the Website for a third party without the consent of ALPHA SPACEZ; and

(i) act to discredit ALPHA SPACEZ and/or the Website in any form.

(a) monitor, screen, or control any activity, content, or material on the Website and/or Services. ALPHA SPACEZ has sole discretion to investigate any violation of the Terms of Use and has the right to take any action that ALPHA SPACEZ deems appropriate;

(b) prevent or restrict access of any user who does not comply (at ALPHA SPACEZ's sole discretion) with the Website and/or Services;

(c) report any activity that ALPHA SPACEZ has grounds to suspect is a violation of the law or regulations of the authorities and to cooperate with the authorities; and/or;

(d) request the Partner to provide any information and data related to the use of the Service and/or access to the Website at any time; and to exercise ALPHA SPACEZ's rights under this clause if the Partner refuses to disclose such information and/or data; or if ALPHA SPACEZ has reasonable grounds to suspect the Partner has provided inaccurate, misleading, or fraudulent information and/or data.

(a) perform any activity related to the use of the Website and Services on the Website honestly and lawfully; and

(b) ensure that any information or data uploaded or created by the Partner on the Website or related to the use of the Service is accurate, and the Partner agrees to bear full responsibility for such information and data.

(b) provided by the Partner and accepted by ALPHA SPACEZ at ALPHA SPACEZ's sole discretion regarding the use of the Service and/or access to the Website. ALPHA SPACEZ reserves the right, at any time, to request the Partner to update Personal Data or immediately cancel the validity of the User Account and shall not be liable for any Loss suffered by the Partner or caused by the Partner or for any reason related to the request or cancellation by ALPHA SPACEZ. The Partner agrees to change the Password from time to time and keep the Username and Password confidential, as well as secure the Partner's User Account and be solely responsible for the disclosure or use of the Username and/or Password (whether such use is authorized or not). The Partner must immediately notify ALPHA SPACEZ if the Partner knows or has reason to suspect that the security of the Username and/or Password has been compromised or the Username and/or Password has been used unauthorizedly or if there is a request to update the Partner's Personal Data.

(c) The Partner may receive promotional emails, SMS text messages, and/or in-app messages or notices from ALPHA SPACEZ in a manner consistent with ALPHA SPACEZ's policy and applicable laws. In case the Partner does not wish to continue receiving such notices, the Partner has the right to refuse by clicking on the link displayed at the bottom of the notice (if any) or sending an email to ALPHA SPACEZ: support@zzp.vn.

(a) The Partner accessing the Website and/or the Partner using the Service; or

(b) The Partner uploading, transmitting, and publishing information, data, or communications validly. The Partner shall be bound when accessing the Website and/or using any Service from the Partner's User Account (whether such access or use of the Service is authorized by the Partner or not) and ALPHA SPACEZ has the right (but not the obligation) to act, respond, or hold the Partner fully responsible for such uploading, transmitting, and publishing of information, data, or communications as if these actions were performed by the Partner themselves. The Partner shall indemnify any and all Losses to ALPHA SPACEZ if ALPHA SPACEZ incurs any Losses arising in connection with the use of the Partner's User Account.

(a) The Partner violates the provisions of these Terms of Use, additional terms or policies specific to the Service;

(b) ALPHA SPACEZ complies with the requirements of the law, or as requested by a competent authority or by court order;

(c) ALPHA SPACEZ has grounds to believe that the Partner's behavior has caused harm or loss to other users or third parties – for example: attacking, fraud, harassment, spamming, deceiving others, or copying content not belonging to the Partner;

(d) in case there are grounds to prove that the information the Partner provided to ALPHA SPACEZ is inaccurate, misleading, incomplete, or violates the law or customs of Vietnam;

(e) The Partner engages in behaviors affecting ALPHA SPACEZ's business operations on the Website;

(f) The Partner is bankrupt, convicted, or serving a sentence, in case the Partner's continued operation may cause liability to the Website, engage in fraudulent activities, counterfeiting, disrupting the market, causing disunity among other users of the Website, activities violating applicable laws of Vietnam.

(a) sent to the Partner via any printed or electronic method chosen by ALPHA SPACEZ, shall be deemed notified to the Partner on the date the notice is published or broadcast; or

(b) sent via post or to the Partner's address, shall be deemed received by the Partner on the date of signing for the notice.

1.1. “Partner” means organizations, individuals using or wishing to use the Website.

1.2. “Intellectual Property Rights” means all copyright, rights related to copyright, patents, trademarks, domain names, designs, database rights, trade names, trade secret protection rights and confidential information, goodwill protection rights and reputation, and all other similar intellectual property rights and all applications for these rights, whether existing or created in the future, in any region of the world, whether registered or unregistered, and all interests, privileges, rights to sue, damages, and requests for temporary emergency measures for any infringement of these rights, whether such infringement was committed in the past, present, or future.

1.3. “ALPHA SPACEZ”, “we” refers to ALPHA SPACEZ JOINT STOCK COMPANY, a company established and operating under the laws of Vietnam under Enterprise Registration Certificate No. 0319219773, first issued by the Department of Finance of Ho Chi Minh City on October 16, 2025, headquartered at 210 Bui Van Ba, Tan Thuan Dong Ward, Ho Chi Minh City, Vietnam.

1.4. “Loss” means all fines, losses, settlement costs, expenses (including legal costs and attorney fees), fees, actions, proceedings, claims, demands, and other claims for compensation, whether foreseeable or not.

1.5. “Material” means including information, images, links, sound, graphics, video clips, software, applications, and other materials displayed or provided on the Website and functions or services provided on the Website.

1.6. “Order” means the Partner's request to use the Service where information regarding the Service is displayed on the Website in accordance with the provisions of Appendix 2 – Terms and Conditions of Service Use.

1.7. “Password” means the valid password that the Partner with a User Account with ALPHA SPACEZ has the right to use along with the Username to access the Website and/or use the Service.

1.8. “Personal Data” means personal data defined in the Personal Data Protection Policy.

1.9. “Website” means the e-commerce sales website ZZP.vn

1.10. “Service” means services provided through the Website.

1.11. “Prohibited Material” means any information, graphics, photos, data, and/or any other material that contains: (a) computer viruses or intrusive code, destructive code, or other harmful programs; (b) infringes any Intellectual Property Rights or any other proprietary rights of a third party; (c) defamatory, libelous, or threatening; (d) obscene, pornographic, indecent, fake, fraudulent, stealing, harmful, or contains illegal content under applicable laws; and/or (e) is deemed offensive and/or objected to in our sole opinion.

1.12. “User Provided Information” is defined in Section 6.1 of the Terms of Use.

1.13. “Terms and Conditions of Service Use” means terms and conditions governing the Partner's use of Services and features on the Website detailed in Appendix 2.

1.14. “Terms of Use” means general terms and conditions governing the Partner's use of the Website, including Appendix 1 and Appendix 2.

1.15. “Trademark” means any sign used to distinguish different goods or services, including trademarks, service marks, trade names, and logos used and displayed on the Website.

1.16. “Username” is a unique login name or identification code to identify the Partner having an account on the Website.

1.17. “Working Day” means a day when banks are normally open for business in Vietnam (excluding holidays, Saturdays, and Sundays).

1.18. “Return Policy” means the return policy for goods, services specified in ALPHA SPACEZ's Return Policy.

1.19. “User” means individuals, organizations that have registered a User Account on the Website.

1.20. “User Account” means an electronic account on the Website registered for creation by the Partner and accepted for activation by ALPHA SPACEZ so that the Partner can access the Website and/or use features, Services on the Website.

2.1 Service Fee for each Service announced on the Website (if any) is the final price, and it will be clearly shown whether the Service fee includes Value Added Tax (VAT) or not, VAT applies according to the tax rate prescribed by law at any given time. Service Fees will be specifically agreed upon by the Parties depending on the Service requested by the Partner.

2.2 ALPHA SPACEZ always strives to ensure accuracy of all information and Service Fees displayed on the Website, however, occasionally there may be some errors or omissions due to objective factors. If a price error is detected, the system will automatically cancel the Order and send an email notification to the Partner.

2.3 Service Fees need to be paid before/after the Partner and ALPHA SPACEZ confirm the Order and before ALPHA SPACEZ proceeds to perform the Service, unless there is another agreement between ALPHA SPACEZ and the Partner.

2.4 In case the Partner does not pay the Service Fee according to regulations or agreement between the two parties, ALPHA SPACEZ, at its discretion, reserves the right to (i) suspend providing Services to the Partner, for clarification, Services fully paid for by the Partner will still be continued by ALPHA SPACEZ; or (ii) suspend the Partner's User Account operation.

2.5 For Service Fee refund cases stated in this Appendix 2, ALPHA SPACEZ will perform the refund within 05 – 10 working days after ALPHA SPACEZ and the Partner agree on the refund amounts.

(a) Orders not intended for purposes violating the law, contrary to ethics, Vietnamese customs.

(b) If the Partner does not comply with any regulations, policies of ALPHA SPACEZ, ALPHA SPACEZ reserves the right to refuse the Partner's Order as well as suspend or terminate the Partner's User Account permanently without prior notice.

5.1 The Partner pays the Service Fee to ALPHA SPACEZ by bank transfer according to the bank account information designated by ALPHA SPACEZ.

5.2 The Partner agrees that the Partner must follow the user agreement applicable to the payment method chosen by the Partner according to the policy of the third party being the payment service provider linked on the Website (if any).

(a) Only pay on websites, applications with security certificates, card system security.

(b) Absolutely do not lend your credit card, bank card to others to make payments on the Website; in case of unintended transactions arising, the Partner please notify immediately so ALPHA SPACEZ can support promptly.

(c) Check your credit card, bank card regularly to ensure all card transactions are under the Partner's control.

(a) Step 1: The Partner proceeds to create an account on the Website for the “Brand” platform

(b) Step 2: The Partner selects “Create campaign” and sequentially enters information related to the Order according to the contents requested on the Website, finally clicks “Publish”

(c) Step 3: The Partner tracks information about the Service requested at the “Campaign” section

(d) Step 4: After receiving the Order, ALPHA SPACEZ will send campaign information to Creators suitable for the Partner's requirements. When a Creator registers to participate in the campaign, ALPHA SPACEZ will send information about the Creator and corresponding Service Fee for each Creator to the Partner via the Website (at “Campaign” section), the Partner will review Creator information and Service Fee provided by ALPHA SPACEZ and if satisfactory, the Partner approves by clicking the tick button. Then confirm the action.

(e) Step 5: After approval in Step 4, the Partner needs to advance 100% of the corresponding Service Fee that the Partner approved in Step 4 by transferring to ALPHA SPACEZ according to information displayed on the Website (“Transaction” section). Accordingly, the Website will display payment information including: 01 QR code and ALPHA SPACEZ's official bank account number, along with the Service Fee to be paid.

(g) Step 7: After successful transfer, the Website will send the Partner a Service confirmation notice and ALPHA SPACEZ will proceed to perform the Service for the Partner. The Partner can monitor the Service implementation process via the “Campaign” Section on the Website.

8.1 Service Execution: Service will be performed by ALPHA SPACEZ according to the description in the Order, according to the implementation plan confirmed in the Order or agreed by the Parties during Service implementation.

8.2 Monitoring: The Partner can monitor the Service implementation status at the “Campaign” Section on the Website.

8.3 Service Execution Time: All Service execution timeframes given are estimates only and delays may occur, however all delays will be notified by ALPHA SPACEZ to the Partner so both Parties can have a suitable plan.

9.1 ALPHA SPACEZ aims to provide the best quality Service to the Partner and refuses to provide Services violating Vietnamese laws.

9.2 In case the Partner detects any violating Service or is unsatisfied with Service quality, please notify ALPHA SPACEZ immediately via the information below for information verification and support.

9.3 In case it is determined that the Service does not ensure quality due to ALPHA SPACEZ's fault, the compensation, refund cost will be according to agreement between ALPHA SPACEZ and the Partner, in any case ALPHA SPACEZ has the right to retain costs corresponding to the part of Service that ALPHA SPACEZ provided ensuring quality.

9.4 Any complaint about Service quality must be made within 07 (seven) days from the date ALPHA SPACEZ completes the Service, after this period ALPHA SPACEZ reserves the right to refuse to resolve any complaint of the Partner regarding the relevant Service.

10.1 If the Partner wants to change Order information after performing the “Publish” Order step on the Website, please contact ALPHA SPACEZ via the following methods:

• Other contact methods integrated on Website (if any).

10.2 If the Order has been published by the Partner, ALPHA SPACEZ, at its discretion and depending on the actual situation, reserves the right to accept or refuse the Partner's Order cancellation request. For any Order cancellation request please contact ALPHA SPACEZ support department at hotline: 0816869993. Note: Hotline number may be changed from time to time and updated on the Website.

10.3 Note that regarding the Partner changing or cancelling the Order, ALPHA SPACEZ reserves the right to request the Partner to pay incurred costs and/or claim damages, specifically according to agreement between ALPHA SPACEZ and the Partner.

11.1 The Partner is responsible for providing full and accurate information when participating in transactions on the Website. In case the Partner enters wrong information when logging in and/or paying or any other information leading to the transaction being impossible to perform and/or transaction interruption, ALPHA SPACEZ reserves the right to refuse to perform the transaction without being responsible for Order cancellation.

11.2 In case the Partner contacts ALPHA SPACEZ or ALPHA SPACEZ contacts the Partner to confirm the Order for any reason (including but not limited to, high value Order, Order with signs of forgery or fraud), if the Partner cannot answer and/or verify accurately necessary information as requested by ALPHA SPACEZ, ALPHA SPACEZ reserves the right to cancel the Order in this case.

12.1 The Website has security measures and tools to protect Personal Data and Partner's payment most comprehensively. Partner's information during payment will be encrypted to ensure maximum security. All transaction information will be kept confidential but in case legal authorities request in writing, ALPHA SPACEZ will have to provide such information to functional agencies in accordance with the law.

12.2 The Partner may not use any program, tool, or other form to interfere with the system or change data structure. ALPHA SPACEZ strictly prohibits distributing, disseminating, or encouraging any activity aimed at interfering, sabotaging, or intruding into system data. Individuals or organizations violating will be stripped of all rights as well as prosecuted before the law if necessary.
